1. Introduction

Welcome to Webmunafa Digital Solutions (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our website and the services provided by us. By engaging our agency for services including Web Development, SEO, AI Agent Services, Graphic Design, Video Editing, Content Writing, or E-commerce Development, you (“Client”) agree to be bound by these Terms.

If you do not agree with any part of these terms, please do not use our services.

2. Services and Scope of Work

  • Project Scope: The specific details of the work to be performed (deliverables, timelines, and costs) will be outlined in a separate proposal, quotation, or invoice provided to the Client before the commencement of the project.

  • Modifications: Any changes to the scope of work after the project has started may result in additional charges and extended timelines. These will be treated as “Change Orders.”

3. Client Obligations

To ensure the project proceeds smoothly, the Client agrees to:

  • Provide all necessary access credentials (hosting, domain, social media accounts) required for us to perform the work.

  • Provide all content (text, images, videos) in a timely manner. We are not responsible for delays caused by the Client’s failure to provide necessary assets.

  • Review our work and provide feedback within 3-5 business days. Failure to respond within this timeframe may be considered acceptance of the work.

4. Payment Terms

  • Invoicing: All quotes and invoices will be issued in INR (Indian Rupees) unless otherwise agreed.

  • Deposits: A non-refundable advance payment (typically 50%) is required before work begins. The remaining balance is due upon project completion or before the final website/files are handed over.

  • Late Payments: Invoices not paid within 7 days of the due date may incur a late fee of 5% per week.

  • Third-Party Costs: The Client is responsible for all third-party costs, including but not limited to domain registration, hosting fees, premium plugin licenses, paid fonts, and AI API costs (e.g., OpenAI API usage for AI agents).

5. Intellectual Property Rights

  • Client Ownership: Upon full payment of all fees, the Client is granted ownership of the final deliverables (e.g., the finished website, logo files, video files).

  • Agency Rights: Webmunafa Digital Marketing Agency retains the right to use the completed project as part of our portfolio and for self-promotion. We also retain ownership of any underlying code libraries, tools, or frameworks used to create the project that were pre-existing.

6. Revisions and Maintenance

  • Revisions: Unless otherwise specified in the proposal, our design and development services include up to two (2) rounds of revisions. Additional revisions will be charged at our standard hourly rate.

  • Maintenance: Once a project is delivered and approved, we are not responsible for future issues caused by third-party updates (e.g., WordPress updates, plugin conflicts) unless the Client has subscribed to a separate Maintenance Package.

7. AI Services Disclaimer

For projects involving AI Agent Services:

  • Accuracy: While we use state-of-the-art models, we cannot guarantee 100% accuracy of AI-generated responses.

  • API Costs: The Client is responsible for the ongoing costs of API tokens (e.g., from OpenAI or Anthropic) required to run the AI agents.

  • Compliance: The Client is responsible for ensuring their use of AI agents complies with local laws and regulations.

8. Limitation of Liability

To the fullest extent permitted by law, Webmunafa Digital Solutions and its owner, Parvat Singh, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses. Our total liability for any claim arising out of these terms or the services shall not exceed the amount paid by the Client to us for the specific project.

9. Termination

  • By Client: The Client may terminate the project at any time by providing written notice. In such cases, the Client is liable to pay for all work completed up to the date of termination. The initial deposit is non-refundable.

  • By Agency: We reserve the right to terminate the agreement if the Client breaches these terms, fails to make payments, or displays abusive behavior towards our team.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Jhalawar, Rajasthan.
